All deliveries and performances are based on the terms and conditions listed below. They apply and are understood to be exclusively agreed by means of order placement or acceptance of the performances and/or the delivery. Adverse or conflicting terms and conditions of the purchaser will not be recognised. With the issue of this price list, all other price lists are null and void.

 Order placement

Orders can be placed either orally or in writing. Confirmations are only given for larger objects upon request of the customer. Alterations of order or nullifications of orders for merchandise not in accordance with the catalogue or for customised products are not possible.

 Quotations

All quotations are subject to confirmation. We reserve the right to prior sale, printing errors, error and alterations. All dates of delivery are not binding. Partial deliveries are acceptable. Any events whatever, which are outside of our scope of responsibility, such as shortage of raw materials, strikes or legal disputes at our subsuppliers or any other causes and circumstances which prevent or hinder us in the fulfilment of contractual delivery obligations, entitle us to rescission or to delay the fulfilment of contract. All and any other claims for damages by the purchaser are ruled out in this case.

Shipment

Shipment (as well as export) is to the account and risk of the recipient. Shipment is normally effected according to UPS-Standard. In the event of special requests of the customer (express or priority deliveries) the extra costs will be charged to the recipient. A transport insurance can be concluded, but only at the expense of the purchaser. Unless otherwise agreed, shipment shall be effected on the basis of payment on delivery.

Prices

All prices are understood in principle to be in Euro, net cash, plus shipment costs and 16% (from 1.1.2007 19%) value-added-tax. If requested by the customer, invoices can be presented in Euro currency. Shipment is effected per UPS-cash on delivery basis or payment in advance. The respective price valid on the date of delivery will be invoiced.

Terms of payment

Delivery against cheque only for account (cross cheque) – payment on delivery. Against invoice only to schools, institutes and known companies. Unless otherwise agreed specially in writing, invoices are due for payment within 14 days, net cash. For overdue payments, interest will be charged at that rate which the banks charge for corresponding credits. The retention of payments because of all or any counter claims of the purchaser not recognised by the supplier is unacceptable. This shall also apply to any offsetting.

Payment by Visa or Mastercard is possible as from now. Please send your order in writing or by fax, stating the number of the card as well as the expiry date and name of the owner of the card.

Title of ownership

We supply according to extended right of ownership. The delivered goods remain our property until complete fulfilment of our claims against the purchaser has been effected. Prior to such complete fulfilment of our claims, pledging and assignment for security is forbidden.

Complaints, warranties

The warranty period amounts to 24 months, commencing from the date of invoice. Excluded are articles for which an individual manufacturer has envisaged a longer guarantee period.

Within the guarantee period, the merchandise must be sent back to me free, in the original packing with an exact description of the deficiency, together with filled out complaint docket and return docket, as well as a copy of the invoice.

Complaints of deficiency and complaints on the quantity of the goods shall be notified in writing by the purchaser immediately, however at the very latest within 8 days after receipt of the goods. The return of the goods as such does not constitute a complaint and does not relieve the purchaser of his obligation to pay the purchase price. If the complaint is justified, we will provide for a replacement after return of the objectionable goods, or we will make improvements according to our discretion and choice. All and any further claims are ruled out.

 Claims to compensation for damage, which have not occurred on the goods supplied by us, are ruled out. Our warranty obligations are null and void if and when changes or repairs are made on the purchased object(s) by third parties without our prior written consent.

Place of fulfilment / place of jurisdiction

Place of fulfilment and place of jurisdiction for both parts Tecklenburg and, in matters concerning the Regional Court, Münster. German law shall apply.

Liability and obligation of contract

If any individual points of this contract be or become ineffective, the remaining parts of the contract shall not be affected by such.  

Trademarks and company names in my price list are registered and protected trademarks of the individual companies as listed.

For export purposes only

 Shipment to foreign countries is made in principle only against advance payment (credit card) or payment on delivery.

Attention European Union customers: For deliveries within the EU without Ust-ID-No., the German value-added-tax will be charged. Traders must state their Ust-ID-No. because otherwise the full rate of the value-added-tax has to be charged as well.
